Introduction

These Terms of Service ("Terms") govern your use of the website and services provided by Shortstack Digital LLC, doing business as ContractorSmartSite.ai ("we," "us," or "our"), located at contractorsmartsite.ai.

By accessing our website or purchasing our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.

Service Description

We provide AI-powered marketing services designed specifically for home service contractors. Our services are offered through two plans:

Specific features, deliverables, and service scope for each plan are detailed on our Pricing page and in any service agreement provided upon enrollment.

Billing and Payment

Monthly Billing

All services are billed on a month-to-month basis. There are no long-term contracts or commitments required. Your subscription will automatically renew each month until you cancel. You may cancel your subscription at any time by contacting us.

Setup Fees

The following one-time setup fees apply:

• Smart Site AI Basic: $500 setup fee
• Smart Site AI Pro: $3,250 setup fee

Setup fees are non-refundable once work has begun on your account, including but not limited to AI configuration, website development, content creation, or account setup. Setup fees cover the initial configuration, onboarding, and implementation work required to launch your services.

AI Voice Minutes

AI voice minutes used by the AI voice agent are billed at cost in addition to your monthly subscription fee. Usage will be tracked and billed monthly. Current per-minute rates will be communicated to you upon enrollment and may be updated with reasonable notice.

Website Ownership and Hosting

For Smart Site AI Pro subscribers, the following terms apply to websites built as part of your service:

While Your Subscription Is Active

Website hosting is included as part of your Smart Site AI Pro monthly subscription at no additional cost. Your website will be hosted on our infrastructure and maintained as part of your service agreement.

After Cancellation

If you cancel your Smart Site AI Pro subscription, you have the following options for your website:

• Hosting-only plan: Continue hosting your website with us for $99/month. This includes hosting and basic maintenance only -- no SEO, AI features, or strategy services.
• Full transfer: We will transfer full ownership of your website code and assets to you via Vercel and GitHub. You will be responsible for hosting, maintenance, and any associated costs after transfer. We will provide reasonable assistance during the transfer process.

You own the content (text, images, branding) on your website. We retain ownership of proprietary templates, frameworks, and custom code libraries used across multiple client projects.

Intellectual Property

All content on the ContractorSmartSite.ai website, including text, graphics, logos, images, software, and design elements, is the property of Shortstack Digital LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without our express written permission.

Any content you provide to us (such as business information, logos, images, and copy) remains your property. By providing content to us, you grant us a non-exclusive license to use that content for the purpose of delivering our services to you.

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete business information as needed for service delivery
• Respond to requests for content, approvals, or feedback in a timely manner
• Ensure that any content you provide does not infringe on third-party intellectual property rights
• Use our services in compliance with all applicable laws and regulations
• Not engage in any activity that could harm our systems, reputation, or other clients

Limitation of Liability

To the fullest extent permitted by law, Shortstack Digital LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of our website or services.

Our total aggregate liability for any claims arising out of or related to these Terms or our services shall not exceed the total amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

We do not guarantee specific results, rankings, lead volumes, or revenue outcomes. Marketing results vary based on many factors including market conditions, competition, industry, location, and client participation.

Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

Indemnification

You agree to indemnify, defend, and hold harmless Shortstack Digital LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of our services, your violation of these Terms, or your infringement of any third-party rights.

Termination

Either party may terminate services at any time. You may cancel your subscription by contacting us at info@contractorgrowth.io. Cancellations take effect at the end of the current billing period, and you will continue to have access to services until that time.

We reserve the right to suspend or terminate your account if you violate these Terms, fail to make timely payments, or engage in conduct that we reasonably believe is harmful to our business or other clients.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Pennsylvania.

Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. Continued use of our website or services after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
